1. Agreement to Terms
By accessing or using the website (thearcforth.com) or engaging ARCFORTH TECHNOLOGIES PVT LTD ("Arcforth", "we", "us", "our") for design, engineering, or consulting services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, please do not use our website or services.
2. Services & Engagements
Arcforth provides digital product development services, including but not limited to AI Product Development, MVP and Product Pilots, Product Design and UX, Software Product Engineering, Dedicated Product Squads, and Embedded Product Units.
Specific project deliverables, timelines, payment schedules, and scopes of work are governed by individual Statements of Work (SOW) or service agreements executed between Arcforth and the client.
3. Intellectual Property Rights
Client Ownership: Upon full receipt of agreed payment, all bespoke software code, custom designs, and deliverables created specifically for the client under an active engagement become the sole property of the client, unless otherwise agreed in writing.
Arcforth Background IP: Arcforth retains ownership of all pre-existing tools, open-source libraries, general architectural patterns, and reusable internal components used in providing the services. Clients receive a perpetual, non-exclusive license to use any embedded background IP necessary to operate their deliverable.
4. Confidentiality & Non-Disclosure
Both parties agree to treat all proprietary information, trade secrets, product workflows, and customer data shared during discussions or engagements as confidential. Confidentiality obligations survive the termination or conclusion of any agreement.
5. Payments & Fees
Pricing for standard engagement tiers (such as Product Pilot, Product Squad, or Embedded Unit) is quoted in US Dollars or agreed local currency. Payment terms, milestones, and invoice schedules are defined in each project proposal or invoice. Late payments may result in suspension of work until outstanding balances are resolved.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Arcforth and its directors, employees, or contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to the use of our services or website.
7. Governing Law
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
